    1. Introduction

    These Terms of Service (“Terms”) govern your use of GuardianStack, a compliance scanning and guidance application for Shopify merchants (“Service”), operated by MikaHari Labs Ltd (“we”, “our”, “us”).

    By installing or using GuardianStack, you agree to these Terms. If you do not agree, do not install or use the Service.

    2. Definitions

    • “You” / “Merchant”: The Shopify store owner or authorised user installing GuardianStack
    • “Service”: The GuardianStack Shopify application and related features
    • “Compliance Guidance”: Recommendations, reports, and analysis provided by GuardianStack
    • “Subscription”: Your paid or free access to GuardianStack features

    3. Service Description

    GuardianStack provides:

    1. Compliance Scanning: Automated analysis of your Shopify store for UK GDPR and ICO compliance gaps
    2. Risk Assessment: Estimated penalty exposure based on enforcement patterns
    3. Actionable Guidance: Recommendations to address compliance issues
    4. Resolution Workflows: Step‑by‑step processes to fix identified gaps

    Important Disclaimer: GuardianStack provides guidance and tools to assist with compliance. We are not a law firm and do not provide legal advice. Our Service does not guarantee regulatory compliance. You remain solely responsible for your legal obligations.

    4. Account and Access

    4.1 Eligibility

    To use GuardianStack, you must:

    • Be at least 18 years old
    • Have authority to bind your business to these Terms
    • Have a valid Shopify store
    • Not be located in a jurisdiction where our Service is prohibited

    4.2 Shopify OAuth

    By installing GuardianStack, you authorise us to access your Shopify store data as described in our Privacy Policy. You may revoke access at any time by uninstalling the app.

    4.3 Account Security

    You are responsible for:

    • Maintaining the security of your Shopify account
    • All activities occurring under your account
    • Notifying us immediately of any unauthorised use

    5. Acceptable Use

    You agree NOT to:

    1. Use the Service for any unlawful purpose
    2. Attempt to gain unauthorised access to our systems
    3. Reverse engineer, decompile, or disassemble the Service
    4. Interfere with or disrupt the Service
    5. Use the Service to process data you do not have rights to access
    6. Resell or redistribute the Service without authorisation
    7. Misrepresent compliance status based on our guidance
    8. Use automated systems to access the Service beyond normal use

    6. Pricing, Billing, and Cancellation

    6.1 Free Tier

    GuardianStack may offer a free tier with limited features. Free tier availability may change with notice.

    6.2 Paid Subscriptions

    • Paid features are billed through Shopify Billing
    • Prices are displayed in your local currency
    • All fees are exclusive of VAT/taxes unless stated otherwise
    • Subscriptions renew automatically unless cancelled

    6.3 Cancellation

    You can cancel at any time via Shopify:

    • Shopify Admin → Apps → GuardianStack → Uninstall

    Cancellation stops future billing, but does not refund prior billing periods unless stated below.

    6.4 Refunds

    • We offer a 14‑day money‑back guarantee for first‑time subscribers
    • Refund requests after 14 days are evaluated case‑by‑case
    • No refunds for partial billing periods

    6.5 Price Changes

    We may change prices with 30 days’ notice. Continued use after price changes constitutes acceptance.

    7. Intellectual Property

    7.1 Our IP

    GuardianStack, including all software, content, trademarks, and documentation, is owned by MikaHari Labs Ltd. You receive a limited, non‑exclusive, non‑transferable licence to use the Service.

    7.2 Your Data

    You retain ownership of your Shopify store data. You grant us a limited licence to process your data solely to provide the Service.

    7.3 Feedback

    If you provide feedback or suggestions, we may use them without obligation to you.

    8. Availability and Support

    We aim to keep the Service available and functional, but availability is not guaranteed. We may suspend or limit the Service for maintenance, security, or legal reasons.

    9. Disclaimer of Warranties

    THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

    • MERCHANTABILITY
    • FITNESS FOR A PARTICULAR PURPOSE
    • NON‑INFRINGEMENT
    • ACCURACY OF COMPLIANCE GUIDANCE
    • UNINTERRUPTED OR ERROR‑FREE OPERATION

    GuardianStack does not warrant that:

    • Our guidance will ensure regulatory compliance
    • Penalty estimates are accurate predictions
    • The Service will meet all your requirements
    • All compliance gaps will be detected

    10. Limitation of Liability

    10.1 Exclusion of Damages

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIKAHARI LABS LTD SHALL NOT BE LIABLE FOR:

    • Indirect, incidental, special, or consequential damages
    • Loss of profits, revenue, or data
    • Regulatory fines or penalties
    • Business interruption
    • Cost of substitute services

    10.2 Liability Cap

    OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

    • Fees paid by you in the 12 months preceding the claim, OR
    • GBP 100

    10.3 Exceptions

    Nothing in these Terms limits liability for:

    • Death or personal injury caused by negligence
    • Fraud or fraudulent misrepresentation
    • Any liability that cannot be excluded by law

    11. Indemnification

    You agree to indemnify and hold harmless MikaHari Labs Ltd and its officers, directors, and employees from any claims, damages, or expenses arising from:

    • Your use of the Service
    • Your violation of these Terms
    • Your violation of any third‑party rights
    • Your Shopify store’s compliance status

    12. Term and Termination

    These Terms remain in effect while you use GuardianStack.

    You may terminate by:

    • Accrued rights and obligations survive termination

    13. Changes to Terms

    We may modify these Terms at any time. We will notify you of material changes by:

    • In‑app notification
    • Updating the “Last Updated” date

    Continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the Service.

    14. Governing Law and Disputes

    These Terms are governed by the laws of England and Wales.

    These Terms, together with our Privacy Policy, constitute the entire agreement between you and GuardianStack.

    15.2 Severability

    If any provision is found unenforceable, the remaining provisions continue in effect.

    15.3 Waiver

    Failure to enforce any provision does not waive our right to enforce it later.

    15.4 Assignment

    You may not assign these Terms. We may assign them to a successor in interest.

    15.5 Force Majeure

    We are not liable for delays or failures due to circumstances beyond our reasonable control.
